Legal Advisor
The Palestinian Electricity Transmission Ltd. (PETL) invites applications from eligible candidates for Legal Advisor position with the following details:
Legal Advisor (Ref. #: LA/LD/ 2017-02)
Roles and Responsibilities:
- Identify, measure, and communicate legal and compliance risk review and provide legal advice on documents.
- Has prior experience or knowledge working on subsidiary agreements, Memorandum of Understanding (MoU), Power Purchase Agreements (PPA), Power Sales Agreements (PSA), cross-border agreements, and other commercial agreements.
- Drives contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manages contract change control process and related correspondence requiring legal input.
- Provide expert and strategic legal advice to management.
- Translates complex commercial/legal scenarios into simple language and action plans.
- Manage the legal relationship between PETL and the distribution companies, generation companies, and IEC as well as all aspects of dispute resolution, any breaches of contract, and all other contractual and legal issues.
- Develop standards for contracts, including presentation of budget, payment terms, general language and provisions.
- Perform appropriate clinical, administrative and operational research to support proposal and contract development.
- Conduct contract strategy meetings to identify issues and client requirements, facilitate discussions, and obtain senior management input on timelines and deliverables.
- Draft contractual provisions based on strategy discussions, senior management input, and organizational needs and expectations.
- Attend all of PETL’s meetings with donors, stakeholders, clients, prospective clients, etc.
- Review all documents and data issued by regulatory authority, PERC.
- Ensures that PETL legally abides with the energy regulation issued by PERC.
- Coordinates and work closely with PERC and advise PETL on the regulatory aspects that would affect proposed activities.
- Oversee and lead negotiation effort with independent power producers.
- Prepare and execute land acquisitions.
- Oversee and lead ongoing negotiations with IEC.
- Instruct and liaise with outside counsel on all legal matters.
- Carry's out any other tasks requested by the Chairman of PETL.
Qualifications:
- BSc or higher in Legal or related field with a minimum 5 years of extensive experience.
- Preferably a Legal degree from the USA, UK, or Canada.
- Be fluent in English and Arabic, other languages a plus;
- Having a deep understanding to laws and regulations governing the energy sector nationally and regionally a plus.
- Demonstrate excellent contractual drafting and negotiation skills both in English and Arabic;
- Be able to manage multiple priorities, work efficiently under pressure and consistently meet tight deadlines.
- Be able to communicate efficiently and work with business representatives at all levels of seniority.
- Experience with international arbitration.
