Terms of Reference

Development of Policies

Background:

QADER for community development is a Palestinian non-governmental, not-for-profit, and independent organization dedicated to promoting better well-being of persons with disabilities in Palestine. QADER is part of the SIDA framework project implemented by Save the Children International in oPt - SCI and funded by the Swedish International Development Cooperation Agency – SIDA.

The Project aims to improved capacity of states to respect and fulfil children’s rights to survival, learning and protection as part of their overall obligations to uphold children’s rights for the most marginalized children through enhancing child participation, inclusion, and increased budget allocation to children and child rights monitoring and reporting. QADER is responsible for specific activities related to promoting children with disabilities’ rights governance.

Purpose of the Assignment

Under the supervision of QADER’s management team and with consultation with relevant department managers the consultant is expected to do the following:

  1. Develop a Conflict of Interest policy and related procedures;
  2. Develop Internal Control Policy.

 

Scope of work:

The consultant shall carry out the following:

  1. The development of a conflict-of-Interest policy and related procedures:
  • Providing an outline for the main issues to be covered in the policy and procedure including but not limited to:
    • Researching and conducting an assessment in order to provide a list of possible conflicts that might arise at the organization;
    • Determining the preventative measures of possible Conflict of Interest;
    • Determining the procedure for handling potential conflicts;
    • Defining the policy procedure through listing possible disciplinary actions that will be taken if an employee/Board member violates the policy;
    • Development of conflict-of-interest disclosure forms;
  • Sharing the policy and procedure outline/content with QADER for approval before proceeding with the policy development.
  • Sharing the draft policy with QADER for comments and feedback;
  • Submitting final policy and related procedure taking into account QADER’s feedback and comments.
  1. The development of Internal Control Policy:
  • Preparing an outline for the main concerns to be covered in the policy. The outline should cover, but not be limited to the below:
    • Control Environment;
    • Risk Assessment;
    • Information and Communication;
    • Limitations;
    • Flow of information and communication;
    • Control Activities (covering both business and financial activities);
    • Monitoring procedures;
  • Sharing the outline / content with QADER for approval before proceeding with the policy development;
  • Sharing the draft policy with QADER for comments and feedback;
  • Submitting final policy following QADER’s comments and feedback.

 

Deliverables

  • Conflict of Interest policy and procedures documents;
  • Internal Control Policy document.

Timeframe

Consultant is expected to:

Expected Timeline Deliverable 1 Week of Signing Contract Conflict of Interest policy and related procedures outline within 1 Week of Signing Contract Internal Control Policy Outline within 10 Days after QADER accepts the outline First draft for COI policy and procedure as well as Internal Control Policy within 4 Days after QADER accepts draft Final Draft

Qualifications

Consultant should possess proven experience in developing policies and procedures manuals for local and international NGOs.
